These Terms of Service ("Terms") govern your access to and use of the Vastrix OPS service ("Service"), operated by Vastrix, a partnership of Bossman Dapaah and Siya Radebe, based in South Africa ("Vastrix", "we", "us", "our").
By subscribing to or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Vastrix OPS is a WhatsApp-based AI executive assistant. Subscribers send commands and natural-language requests via WhatsApp to a registered Vastrix business number and receive AI-generated summaries, drafts, reminders, task confirmations, meeting bookings, and similar productivity outputs.
The Service is offered in three subscription tiers:
- Starter — R1,999/month
- Pro — R3,499/month
- Executive — R5,999/month
Each tier includes specific monthly usage limits (AI replies, email triages, voice minutes, tasks, documents). Your tier and limits are confirmed in your subscription contract.
2. Eligibility
You must be at least 18 years old and capable of entering a binding contract under South African law to subscribe. The Service is intended for business and professional use.
3. Subscription and Payment
3.1 Subscription terms (price, duration, included features) are confirmed via email and a signed subscription contract between you and Vastrix prior to service activation.
3.2 Payment arrangements (method, billing date, invoicing) are handled outside the WhatsApp service via direct email and contract. Vastrix does not process card payments through the WhatsApp interface.
3.3 Subscriptions auto-renew monthly unless cancelled per Section 4.
3.4 All prices are inclusive of VAT where applicable.
4. Cancellation
4.1 You may cancel your subscription by emailing info@vastrix.co.za with at least 7 days notice before your next billing date.
4.2 No partial-month refunds are provided. Cancellation takes effect at the end of the current billing period.
4.3 After cancellation, your data is retained for one month (per our Privacy Policy) in case you wish to reactivate. After that period, data is deleted unless you have requested earlier deletion.
5. Acceptable Use
You agree NOT to use Vastrix to:
- Send spam, phishing, or unsolicited bulk messages
- Engage in illegal activity under South African law
- Send malware, viruses, or harmful code
- Impersonate any person or business
- Process personal information of third parties without their consent
- Reverse-engineer, copy, or replicate the Service
- Exceed your monthly usage limits through automation, scripts, or other workarounds
- Use the Service to harm Vastrix's reputation, infrastructure, or other clients
We reserve the right to suspend or terminate your subscription immediately if you violate this section, without refund.
6. Usage Limits and Overages
Each subscription tier has defined monthly limits. When you approach a limit, Vastrix warns you via WhatsApp. When a hard limit is reached, the relevant feature stops responding until your next billing cycle. We do not bill overages without explicit upgrade.
7. Third-Party Integrations
The Service connects with Gmail, Google Calendar, Google Contacts, Google Drive, Notion, and other services via OAuth or API keys you authorize. You are responsible for:
- Maintaining valid credentials with each third party
- Ensuring you have rights to share data accessed via these integrations
- Reading and accepting the terms of each integrated third party
If a third-party service experiences outages, the corresponding Vastrix features may be unavailable.
8. AI-Generated Content
Vastrix generates replies using AI models from Anthropic, OpenAI, and Google. AI outputs:
- May contain errors, inaccuracies, or hallucinations
- Should not be relied upon for legal, medical, financial, or other professional advice without independent verification
- Are provided "as is" without warranty
You are responsible for reviewing AI-generated drafts (e.g., emails, summaries, bookings) before confirming them with "yes" or similar confirmation commands.
9. Intellectual Property
9.1 Vastrix owns all rights, title, and interest in the Service, including its workflows, code, prompts, branding, and underlying infrastructure.
9.2 You retain ownership of all data you send to Vastrix (messages, documents, voice notes) and all data accessed via your authorized integrations.
9.3 You grant Vastrix a limited, non-exclusive license to process your data solely to deliver the Service, as described in the Privacy Policy.
10. Availability and Uptime
10.1 Vastrix aims for high availability but does not guarantee 100% uptime.
10.2 We may perform maintenance, updates, or feature changes without prior notice.
10.3 We are not liable for disruptions caused by third-party outages (Meta WhatsApp, Google, Anthropic, OpenAI, Notion, n8n), internet failures, or events beyond our reasonable control.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Vastrix does not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.
12. Limitation of Liability
To the maximum extent permitted by South African law, Vastrix and its partners will not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, business, data, or goodwill
- Damages arising from third-party services
- Damages arising from your reliance on AI-generated content
Vastrix's total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total subscription fees you have paid Vastrix in the three months preceding the claim.
13. Indemnity
You agree to indemnify, defend, and hold harmless Vastrix and its partners from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of any third-party rights
- Your use of the Service in connection with illegal activity
- Personal data of third parties processed via the Service without their consent
14. Termination by Vastrix
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- You violate these Terms
- You fail to pay your subscription
- You misuse the Service in a way that harms us, other clients, or third parties
- We are required to do so by law
15. Modifications to the Service or Terms
15.1 We may modify the Service (add, change, or remove features) at any time.
15.2 We may modify these Terms by posting an updated version at the same URL. Continued use of the Service after a material update constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa.
We encourage you to email info@vastrix.co.za to resolve any dispute informally before initiating legal action.
17. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
18. Entire Agreement
These Terms, together with the Privacy Policy and your subscription contract, constitute the entire agreement between you and Vastrix regarding the Service.
